Job Description: We are currently seeking an experienced and strategic General Counsel to join our team in Rome, Italy. As a General Counsel, you will serve as the senior legal advisor and provide guidance and support on legal matters to ensure compliance and mitigate legal risks. Your extensive knowledge of legal principles, regulations, and industry practices will contribute to the success and growth of our organization. Key Responsibilities: Legal Strategy: Develop and implement legal strategies aligned with the organization's goals and objectives. Provide proactive legal advice and guidance to senior management and stakeholders on a wide range of legal issues. Compliance and Risk Management: Ensure compliance with applicable laws, regulations, and industry standards. Assess and mitigate legal risks by establishing effective policies, procedures, and controls. Contract Management: Draft, review, and negotiate a variety of commercial contracts, including agreements with customers, vendors, and partners. Ensure contracts are legally sound, protect the organization's interests, and align with its objectives. Legal Research and Analysis: Stay updated on relevant legal developments, including changes in legislation, case law, and regulatory requirements. Conduct legal research and analysis to provide accurate and timely advice and guidance. Corporate Governance: Oversee corporate governance matters, including board meetings, shareholder communications, and compliance with corporate laws and regulations. Provide guidance on corporate structure, governance best practices, and legal obligations. Dispute Resolution: Manage legal disputes and litigation matters, including working with external counsel when necessary. Develop strategies to resolve disputes efficiently and cost-effectively, considering both legal and business objectives. Intellectual Property: Protect and manage the organization's intellectual property assets, including patents, trademarks, copyrights, and trade secrets. Ensure appropriate IP strategies, registrations, and enforcement measures are in place. Employment Law: Advise on employment law matters, including employment contracts, policies, disciplinary actions, and employee relations. Stay updated on labor laws and regulations to ensure compliance and fair employment practices. Regulatory Compliance: Monitor and interpret regulatory requirements relevant to the organization's operations. Develop compliance programs and policies to address regulatory obligations and ensure adherence. Team Leadership: Manage and mentor a legal team, providing guidance, support, and professional development opportunities. Collaborate with external legal counsel, as needed, to obtain specialized expertise.

Job Requirement: Qualifications and Requirements: Law degree from a recognized university and admission to the Bar in Italy. Additional qualifications or international experience are advantageous. Proven experience as a General Counsel or in a senior legal role within a reputable organization. In-depth knowledge of Italian and international laws, regulations, and legal principles. Strong understanding of corporate governance, contract law, commercial transactions, and intellectual property. Excellent analytical, problem-solving, and decision-making skills. Exceptional communication and negotiation skills, both written and verbal. Ability to build and maintain strong relationships with internal stakeholders, external partners, and regulatory authorities. Strong business acumen and ability to provide strategic legal advice aligned with business goals. Experience in managing legal disputes and litigation matters. Familiarity with compliance programs, risk management, and ethics. Proficiency in both Italian and English, with the ability to draft legal documents and communicate effectively in both languages.
